These\u00a0Terms of Sale<\/a>,\u00a0Terms of Use<\/a>,\u00a0Safety Instructions<\/a>,\u00a0Limited Warranty<\/a>\u00a0and\u00a0Privacy policy<\/a>\u00a0represent the whole Agreement between you and Visionect d.o.o. (hereby Visionect), unless otherwise agreed.<\/p>\n\n\n\n

Terms of Sale<\/h2>\n\n\n\n

Basically put, this section describes the whos and whats in the easy buying process. You choose the products you want on the website, decide how many you\u2019d like for your office, input your payment method, and voila, you have bought JOAN, a great product that will make office life much easier and more organized. Oh, and it also says you can\u2019t use JOAN products to do destructive things. Really.<\/p>\n\n\n\n

Buying a JOAN is quick and easy, and we\u2019re here to help. What is JOAN?<\/h3>\n\n\n\n

JOAN is a digital door display and meeting room booking solution developed by Visionect, who owns all intellectual property rights within and regulates the shopping process for your convenience and safe use of the JOAN device (hereby Service).<\/p>\n\n\n\n

Who can buy JOAN?<\/h3>\n\n\n\n

We can only sell JOAN to legally organized and incorporated legal entities that comply with the local law of the country of delivery. B2B (business-to-business) means a transaction in which the supplier and the customer are legal entities.<\/p>\n\n\n\n

Your Status<\/h3>\n\n\n\n

By placing an order on the Website, you confirm that you are:<\/p>\n\n\n\n

  1. legally capable of entering into binding contracts,<\/li>\n\n\n\n
  2. if in the EU, able to provide your VAT number, when applicable.<\/li>\n<\/ol>\n\n\n\n

    Orders & Payment Terms<\/h3>\n\n\n\n

    We have to receive your payment before we can accept your order. You can pay with a credit card, PayPal, or any other pre-arranged payment method. We can cancel your order if we deem it necessary.<\/p>\n\n\n\n

    Our price quotes are non-binding unless we let you know in writing. An order is valid and binding only after we confirm it in writing. Visionect is not responsible for any pricing, typographical, or other errors in our communications. We may process payment and ship parts of an order separately.<\/p>\n\n\n\n

    Basic Order Terms: All orders must include the following information: (i) which and how many JOAN devices you would like, (ii) prices, and (iii) delivery instructions, (collectively, the \u201cBasic Order Terms\u201d).<\/p>\n\n\n\n

    We can cancel or indefinitely suspend an accepted order, and refuse additional orders if: (i) you don\u2019t do what you\u2019re supposed to do according to these Terms, (ii) you stop doing business or enter into any bankruptcy, insolvency, receivership or similar proceeding that lasts more than 30 days, or assign your assets for the benefit of creditors, or (iii) if third-party financing in connection with your JOAN devices purchase(s) aren\u2019t fast enough for us.<\/p>\n\n\n\n

    You may cancel your order prior to shipping.<\/p>\n\n\n\n

    Returns Policy, Your Right to Cancel and Refunds Policy<\/h3>\n\n\n\n

    Before sending anything to Visionect, please contact our JOAN Team at support@getjoan.com<\/a> (or support@joanassistant.com<\/a>). We can usually solve the problem quickly via email. If not, and if you are considered under warranty, you will receive an authorization number.<\/p>\n\n\n\n

    Pricing, Terms of Payment, Taxes<\/h3>\n\n\n\n

    You can pay using Visa\u00ae, MasterCard\u00ae, American Express\u00ae, PayPal, or another option defined by Visionect. Your order is considered as accepted when your card is debited or when Visionect receives payment of invoice.<\/p>\n\n\n\n

    You are liable for any costs incurred by us if you change or cancel any order, and for all costs of collection of past due amounts (including attorneys\u2019 fees).<\/p>\n\n\n\n

    Our stated prices for JOAN devices do not include applicable sales taxes, export or import charges, transportation or insurance charges, customs and duty fees, personal property taxes or similar charges \u2013 all of which are your responsibility to pay. You have to pay us all taxes and governmental fees we are required to collect or pay upon sale or delivery of the JOAN devices unless you provide us with direct payment authority or an exemption certificate valid in the jurisdiction the JOAN device(s) will be delivered.<\/p>\n\n\n\n

    Shipping, Delivery<\/h3>\n\n\n\n

    Delivery time<\/h4>\n\n\n\n

    When Visionect accepts your order in writing, we will also contact you with an estimated delivery time. We try hard to meet your requested delivery dates, unless you are in default under these Terms, or our performance is otherwise excused. We are not liable for late or delayed delivery. Late delivery is not a basis for cancellation of any order. Shipping and delivery dates are estimates only. The time it takes to receive your order depends on the shipping method you choose during checkout, and the time of day you place your order.<\/p>\n\n\n\n

    Delivery terms<\/h4>\n\n\n\n

    When you receive the JOAN device(s), you own it, as well as the risk of loss or damage. We have the right to make partial deliveries.<\/p>\n\n\n\n

    Visionect can deliver the Software via e-mail if it so chooses. Visionect or its licensors still own the Title to the Software. You accept the terms of the Software when it is activated or otherwise made available for your access or use, whichever date is earlier.<\/p>\n\n\n\n

    Any notice or other communication given by either party to the other regarding these Terms will be deemed given and served.     By purchasing JOAN, you are complying with the TOS laid out here in full and comply with receiving regular technical updates necessary for uninterrupted operation of JOAN devices.<\/p>\n\n\n\n

    Returns Policy<\/h2>\n\n\n\n

    Contact Us First, Before Sending Anything Back<\/h3>\n\n\n\n

    Before sending anything to Visionect, please contact our JOAN Team at support@getjoan.com<\/a> (or support@joanassistant.com<\/a>). Our friendly team will try to help you solve any JOAN problems quickly and efficiently. If you return anything to Visionect without prior authorization, this will be considered an unauthorized return, and you will not receive credit for the JOAN device(s), and Visionect will not ship the JOAN device(s) back to you. So, make sure you contact us before sending anything back. We may, in our sole discretion, arrange for fulfillment of our warranty obligations through a Visionect affiliate, authorized distributor, or an authorized warranty service center. Returns may be subject to shipping, handling, replacement and\/or restocking fees.<\/p>\n\n\n\n

    If you cancel your order before we ship it, we will reimburse all payments received from you, including the costs of shipping and delivery.<\/p>\n\n\n\n

    If there have been some issues related to delivery, you are responsible for letting us know in writing of any identified damage or nonconformance of JOAN device within 8 days of receiving the JOAN device.<\/p>\n\n\n\n

    30 Day Money Back Guarantee (JOAN Webstore Purchases)<\/h3>\n\n\n\n

    We want you to be completely satisfied with your JOAN device purchase from our online store.     JOAN Webstore Return Instructions<\/h3>\n\n\n\n

    If you bought the JOAN device(s) directly from getjoan.com<\/a> (joanassistant.com<\/a>), and you are not satisfied with your purchase within 30 days of receipt, you can return it following the below procedure<\/a>. Your card will be credited or you will be reimbursed upon receipt of the return of the JOAN device(s).<\/p>\n\n\n\n

    Limited Warranty<\/h1>\n\n\n\n

    JOAN One-Year Limited Warranty<\/h3>\n\n\n\n

    The JOAN device is guaranteed against manufacturing defects one (1) year from the original delivery date. Visionect\u2019s sole obligation in the event of such defects during this period is to replace the product with a comparable device at Visionect\u2019s sole discretion.<\/p>\n\n\n\n

    During the warranty period, Visionect will make the choice whether to replace, repair, correct, or issue credit for any JOAN device or Software subject to the warranty which we determine as non-conforming after we check it out.<\/p>\n\n\n\n

    Unless: (i) it falls under the limited warranty included with a JOAN device; or (ii) the User Agreement accompanying any Software grants you different rights or disclaims all warranties we warrant to you, and only to you, as applicable, that our JOAN devices are designed and manufactured to conform to our specifications and will be free from defects in material and workmanship for a period of 1 year from the original delivery date.<\/p>\n\n\n\n

    JOAN Plus – Extended Warranty<\/h3>\n\n\n\n

    The JOAN Plus – Extended 2-Year Warranty and JOAN Plus – Extended 3-Year Warranty products are subject to the same terms as the JOAN One-Year Limited Warranty. JOAN Plus – Extended 2-Year Warranty extends the JOAN One-Year Limited Warranty for additional one (1) year to a total of two (2) years from the original delivery date. JOAN Plus – Extended 3-Year Warranty extends the JOAN One-Year Limited Warranty for additional two (2) years to a total of three (3) years from the original delivery date.<\/p>\n\n\n\n

    Warranty Replacement Service Instructions<\/h3>\n\n\n\n

    Visionect will replace a JOAN device free of charge if your device has a manufacturing defect that is covered by the warranty below. At Visionect\u2019s discretion, Visionect will cover the shipping costs.<\/p>\n\n\n\n

    Before sending anything to us, please contact our JOAN Team at support@getjoan.com<\/a> (or support@getjoan.com<\/a>).<\/p>\n\n\n\n

    If our JOAN Team determines that your problem qualifies for warranty coverage, you will be issued an RMA (Return Merchandise Authorization) number You can then prepare the package to return to Visionect.<\/p>\n\n\n\n

    Note: Please do not hand deliver your products to the RMA facility, even if you are local. These locations are not set up to receive visitors. Thanks!<\/p>\n\n\n\n

    Please follow the RMA instructions below:<\/p>\n\n\n\n

    1. Print and fill out the RMA document. (Please find the document here<\/a>.)<\/li>\n\n\n\n
    2. Include the RMA document in the package. (Instructions on how to fill out the document can be found on the document itself.)<\/li>\n\n\n\n
    3. Scan or take a photo of the filled out RMA document and attach it to your email.<\/li>\n\n\n\n
    4. Securely pack the device(s) in original packing and mark the package with the RMA number provided by the JOAN Support Team at support@getjoan.com<\/a>.<\/li>\n\n\n\n
    5. When filling out documents for the shipping courier please provide the correct price of the JOAN unit(s). (Example: If you bought 5 devices and are returning 2, please specify the corresponding price for those two devices without tax and shipping.)<\/li>\n\n\n\n

      In Which Cases, JOAN Warranty does not Apply<\/h3>\n\n\n\n

      The JOAN Warranty does not apply if the product has been installed and\/or used in a manner that does not comply with user instructions, or has been fitted on unsuitable materials.<\/p>\n\n\n\n

      1. Normal wear and tear<\/li>\n\n\n\n
      2. If the product has been modified or repaired by personnel other than Visionect\u2019s<\/li>\n\n\n\n
      3. If the defect or damage has been caused by accident, lightning, or other electrical discharge, fresh or salt water immersion or spray (outside JOAN specifications); or exposure to environmental conditions for which the JOAN device is not intended.<\/li>\n<\/ol>\n\n\n\n

        This limited warranty also does not apply to, and we are not responsible for, defects or performance problems resulting from: (i) the combination or use of the JOAN device with hardware or software, information, data, systems, interfaces, or devices not made, supplied or specified by us; (ii) operating the JOAN device under any specification other than, or in addition to, our standard specifications for them; (iii) the unauthorized installation, modification, repair, or use of the JOAN; (iv) damage caused by accident, lightning, or other electrical discharge, fresh or salt water immersion or spray (outside JOAN specifications); or exposure to environmental conditions for which the JOAN device is not intended; (v) normal wear and tear on consumable parts, or (vi) cosmetic damage and (vii) in contrary with these Terms. We do not warrant or guarantee the results obtained through the use of the JOAN device.<\/p>\n\n\n\n

        If any JOAN device stops working during the warranty period for reasons covered by our limited warranty, and you notify us of such a failure during the warranty period, we will at our option replace a nonconforming JOAN device with a new, equivalent to new, or reconditioned parts for the JOAN device or, if it doesn\u2019t make financial sense in our determination, we will refund the JOAN purchase price you paid (excluding separate costs of installation, if any) upon your return of the JOAN device in accordance with our JOAN device return procedures as referenced above. Any repaired or replaced JOAN devices will be warranted for a period of 30 days or the remainder of the original warranty period, whichever is longer.<\/p>\n\n\n\n

        Determination of Warranty Applicability<\/h3>\n\n\n\n

        We can refuse warranty services if the JOAN device or Software date of purchase cannot be proven, if a claim is made outside the warranty period, or if a claim is excluded. Following our examination of your claim, we will notify you of your warranty status and the repair cost of any out-of-warranty JOAN devices. At such a time you must issue a valid purchase order to cover the cost of the non-warranted JOAN device repair and return shipping, or authorize return shipment of the JOAN device at your expense as is.<\/p>\n\n\n\n

        Software<\/h3>\n\n\n\n

        The Software is made available \u201fas is.\u201d Visionect makes no warranties, conditions, accompanying documentation as to any matter including (without limitation) performance, results, security, non-infringement, merchantability, integration, quiet enjoyment, features, expectations, satisfactory quality, or fitness for any particular purpose.<\/p>\n\n\n\n

        VISIONECT PROVIDES NO WARRANTY REGARDING, AND WILL HAVE NO RESPONSIBILITY FOR, ANY CLAIM ARISING OUT OF:<\/p>\n\n\n\n

        (I) USING THE SOFTWARE IN ANY WAY NOT COVERED BY THESE TERMS AND CONDITIONS OR ITS PURPOSE<\/p>\n\n\n\n

        (II) THE MODIFICATION OF SOFTWARE MADE BY ANYONE OTHER THAN VISIONECT UNLESS VISIONECT AUTHORIZED SUCH A MODIFICATION<\/p>\n\n\n\n

        (III) DAMAGES DUE TO IMPROPER OR SLOPPY USE<\/p>\n\n\n\n

        (IV) THE USE OF SOFTWARE IN COMBINATION WITH ANY OPERATING SYSTEM, OR ANY SOFTWARE OR\/AND HARDWARE NOT AUTHORISED OR FORBIDDEN BY VISIONECT.<\/p>\n\n\n\n

        VISIONECT PROVIDES NO WARRANTY AND WILL HAVE NO RESPONSIBILITY FOR:<\/p>\n\n\n\n

        (I) OPERATION OF SOFTWARE BEING UNINTERRUPTED<\/p>\n\n\n\n

        (II) OPERATION OF SOFTWARE BEING ERROR-FREE<\/p>\n\n\n\n

        (III) THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET DISTRIBUTOR REQUIREMENTS<\/p>\n\n\n\n

        (IV) THAT THE SOFTWARE WILL BE COMPATIBLE WITH ANY SOFTWARE OR HARDWARE, EXCEPT SOFTWARE AND FIRMWARE AUTHORIZED BY VISIONECT<\/p>\n\n\n\n

        VISIONECT IS NOT RESPONSIBLE FOR ANY DAMAGES OR LOSS RESULTING FROM THE USE OR INABILITY TO USE THE SOFTWARE.<\/p>\n\n\n\n

        Not Responsible for Lost Data<\/h3>\n\n\n\n

        We are not responsible for any modification or damage to, or loss of any programs, data, or other information stored on any media or any part of any JOAN device serviced by us, or stored or hosted by us in connection with a Software service we provide, or for the seeking of Software support. Any JOAN device or Software sent to Visionect for support may be returned to you configured as originally provided to you by Visionect.<\/p>\n\n\n\n

        OUR ENTIRE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID TO US UNDER THE TERMS. FURTHER, NEITHER WE NOR VISIONECT EMPLOYEES ARE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE DAMAGES, OR OTHER DAMAGES, OR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE JOANS OR SOFTWARE, OR ANY ASSOCIATED EQUIPMENT, COSTS OF COVER, DOWNTIME AND USER TIME, OR FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY OR CONDITIONS, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY RELATED TO THE JOANS OR THE SOFTWARE. EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, ANY IMPLIED WARRANTY OF SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE APPLYING TO THE JOANS OR SOFTWARE IS LIMITED IN DURATION TO THE DURATION OF THE WARRANTY SPECIFIED ABOVE.<\/p>\n\n\n\n

        3. Then you can prepare a package to return to Visionect.<\/li>\n\n\n\n
        4. Write your RMA number on the outside of the box and send it to the appropriate address based on your specific location.<\/li>\n<\/ol>\n\n\n\n

          Governing Law and Jurisdiction<\/h3>\n\n\n\n

          Place of fulfillment and performance for any obligation arising in context with our deliveries is Ljubljana, Slovenia.<\/p>\n\n\n\n

          The place of jurisdiction shall be Ljubljana, Slovenia and its competent courts.<\/p>\n\n\n\n

          Governing Law shall be the law of Slovenia with the exclusion of international conflict of law\u2019s provisions thereof and with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).<\/p>\n\n\n\n

          Miscellaneous<\/h3>\n\n\n\n

          Should any of the clauses of these Terms and Conditions be wholly or partially invalid or void, the validity of the remaining clauses or parts thereof shall not be affected.<\/p>\n\n\n\n
